Terms of Service

Welcome to Cogniovus. By accessing or using our Retrieval-Augmented Generation (RAG) workspace you accept these Terms of Service. If you disagree with any provision you must discontinue use of the platform.


1. Definitions

  • "Platform": The Cogniovus web application, APIs, and supporting services.
  • "Manager Account": The organization or administrator that subscribes to Cogniovus, uploads documents, creates RAG libraries, and manages billing.
  • "End User": Any user created by a Manager Account to access assigned libraries and interact with the AI agent.
  • "Library": A collection of documents uploaded by a Manager Account, vectorized by Cogniovus, and made available to assigned End Users.
  • "Content": All files, prompts, questions, AI responses, and metadata submitted to or generated within the platform.

2. Description of the Service

Cogniovus enables Manager Accounts to upload their own documents, create RAG libraries, and assign those libraries to End Users. Documents are vectorized to allow an AI agent to interpret the material and answer questions. We may update or discontinue any feature at any time.

3. Eligibility and Accounts

Manager Accounts must be at least 18 years old, have authority to bind their organization, and remain responsible for all End Users they invite. Managers control billing, library creation, and user permissions. End Users are responsible for safeguarding their credentials and using the platform only as authorized.

4. License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use Cogniovus solely to build and consume RAG libraries for your internal purposes. You may not resell or sublicense the platform without our written consent.

5. Uploaded Content and Rights

You retain ownership of the documents and data you upload. By providing Content you grant Cogniovus the rights necessary to store, process, vectorize, and display that Content within the platform so the AI agent can operate. You represent that you have all permissions and lawful bases required to upload and share the Content with your End Users.

6. Processing of Documents and AI Responses

Documents are transformed into vector embeddings and consumed by AI models to generate answers. The AI may produce inaccurate or unexpected responses; Cogniovus does not review or verify outputs. Managers and End Users must validate results before relying on them and remain solely responsible for any decisions taken based on the AI responses.

7. User Responsibilities and Prohibited Uses

  • Do not upload unlawful, infringing, or confidential material unless you have obtained all necessary consents.
  • Do not use Cogniovus to violate intellectual property rights, privacy rights, or regulatory obligations.
  • Do not attempt to reverse engineer, disrupt, or gain unauthorized access to any part of the platform.
  • Managers must ensure End Users comply with these Terms and promptly revoke access for users who misuse the service.

8. Payments and Billing

Manager Accounts are responsible for subscription fees and any usage-based charges associated with their organization. Fees are non-refundable except where required by law. Failure to pay may result in suspension or deletion of libraries and End User accounts.

9. Confidentiality and Data Security

We apply commercially reasonable security measures, but transmission of data over the internet involves risk. Do not upload highly sensitive information unless you understand and accept those risks. You remain responsible for complying with any data-protection obligations applicable to your Content and End Users.

10. Intellectual Property

All platform software, interfaces, and branding are owned by Cogniovus or its licensors. You may not copy, modify, or create derivative works from the platform except as expressly permitted in these Terms.

11. Limitation of Liability

Cogniovus is provided "as is" without warranties of any kind. To the fullest extent permitted by law, Cogniovus is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform, including reliance on AI outputs or loss of data.

12. Indemnification

You agree to defend, indemnify, and hold harmless Cogniovus, its affiliates, and personnel from any claims, damages, or expenses arising from your Content, your End Users, or any breach of these Terms.

13. Modifications and Termination

We may modify these Terms at any time by posting an updated version on the platform. Continued use after changes take effect constitutes acceptance. We may suspend or terminate access for any violation, suspected misuse, or legal requirement.

14. Governing Law and General Provisions

These Terms are governed by the laws of the jurisdiction where Cogniovus is established. Any dispute will be resolved exclusively in those courts. If any provision is found unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and Cogniovus regarding the platform.

By using Cogniovus you acknowledge that you understand and accept these obligations, and you assume full responsibility for any misuse by you or your End Users.
